Regulatory Information

Regulatory Status: Goldilox Ltd is not authorised, regulated, licensed, or registered with the Financial Conduct Authority (FCA), the Commissione Nazionale per le Società e la Borsa (CONSOB), the European Securities and Markets Authority (ESMA), or any other financial services regulatory authority in any jurisdiction. We do not hold any financial services licence or permission of any kind.

1. About Goldilox

Goldilox Ltd is a technology company registered in England and Wales. We develop and operate an educational and informational software platform that displays technical analysis data, algorithmic outputs, market indicators, and related educational content.

Goldilox is not:

  • A financial adviser or investment adviser.
  • A broker, dealer, or execution venue.
  • A portfolio manager or asset manager.
  • A market maker or liquidity provider.
  • A credit institution, payment institution, or e-money institution.
  • A collective investment scheme or fund manager.
  • An appointed representative or tied agent of any authorised firm.

2. Regulatory Framework — United Kingdom

2.1 Financial Services and Markets Act 2000 (FSMA)

Under FSMA, certain activities relating to specified investments are "regulated activities" that can only be carried out by persons who are authorised or exempt. Goldilox does not carry out any regulated activity as defined by the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 (RAO). In particular, we do not:

  • Deal in investments as principal or agent (RAO Articles 14, 21).
  • Arrange deals in investments (RAO Article 25).
  • Manage investments (RAO Article 37).
  • Advise on investments (RAO Article 53).
  • Establish, operate, or wind up a collective investment scheme (RAO Article 51ZA).
  • Safeguard or administer investments (RAO Article 40).

The Content provided on the Platform constitutes general information and educational material. It does not constitute a "financial promotion" within the meaning of Section 21 of FSMA, as it is not an invitation or inducement to engage in investment activity. Alternatively, to the extent that any Content might be characterised as a financial promotion, it falls within the exemptions set out in the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005, including (but not limited to) the exemption for generic promotions (Article 17) and communications by journalists (Article 20), insofar as applicable.

2.2 Financial Conduct Authority (FCA)

Goldilox is not registered on the FCA Register and is not authorised or regulated by the FCA. We are not covered by the Financial Services Compensation Scheme (FSCS). If you use the Platform and subsequently suffer financial losses from trading or investing, you will have no recourse to the FSCS or the Financial Ombudsman Service (FOS) in respect of Goldilox.

3. Regulatory Framework — Italy and the European Union

3.1 Testo Unico della Finanza (TUF — Legislative Decree 58/1998)

Under Italian law, the provision of investment services and activities (servizi e attività di investimento) as defined by Article 1, paragraph 5, of the TUF requires authorisation from CONSOB and/or the Bank of Italy. Goldilox does not provide any investment service within the meaning of the TUF, including:

  • Execution of orders on behalf of clients (esecuzione di ordini per conto dei clienti).
  • Portfolio management (gestione di portafogli).
  • Investment advice (consulenza in materia di investimenti).
  • Reception and transmission of orders (ricezione e trasmissione di ordini).
  • Dealing on own account (negoziazione per conto proprio).
  • Placement of financial instruments (collocamento).
  • Operation of multilateral trading facilities or organised trading facilities.

3.2 MiFID II (Directive 2014/65/EU)

Under the Markets in Financial Instruments Directive II and its implementing regulation (MiFIR), investment services require authorisation from the competent national authority. Goldilox does not provide any investment service or ancillary service as defined by Annex I of MiFID II. The Platform provides general information and educational tools; it does not constitute investment research within the meaning of Article 36 of Commission Delegated Regulation (EU) 2017/565, as it is not presented as an objective or independent explanation of the matters contained therein.

3.3 CONSOB

Goldilox is not registered with CONSOB (the Italian securities market regulator), is not listed in CONSOB's registers of authorised intermediaries, and is not subject to CONSOB supervision. Italian users do not benefit from the protections afforded to clients of authorised investment firms under Italian law, including the Fondo Nazionale di Garanzia (National Guarantee Fund).

4. What Goldilox Does and Does Not Do

What we do:
  • Provide a software platform that displays automated technical analysis outputs, market data visualisations, and educational content about trading concepts and strategies.
  • Offer tools that allow users to explore, study, and learn about technical analysis indicators and market patterns.
  • Display Signals generated by quantitative algorithms for educational and informational purposes only.
What we do NOT do:
  • Provide financial advice, investment advice, tax advice, or legal advice of any kind.
  • Make personalised recommendations to buy, sell, or hold any financial instrument.
  • Execute, transmit, route, clear, or settle any trade, order, or transaction.
  • Hold, safeguard, or manage client funds, securities, or other assets.
  • Act as your agent, fiduciary, or intermediary in any financial transaction.
  • Guarantee any return, profit, or trading outcome.

5. Third-Party Brokers

If you choose to execute trades through a Third-Party Broker (such as Trading 212 or any other brokerage), your relationship with that broker is entirely separate from your relationship with Goldilox. The broker is responsible for the execution, clearing, and settlement of your trades and is subject to its own regulatory obligations. You should verify that any broker you use is properly authorised and regulated in your jurisdiction.

Goldilox does not endorse, recommend, or guarantee any particular broker. Any reference to a specific broker on the Platform is for informational or compatibility purposes only and does not constitute a recommendation.

6. Complaints

If you have a complaint about the Platform or our services, please contact us at legal@goldilox.co. We will endeavour to resolve your complaint promptly and fairly.

As Goldilox is not regulated by the FCA, complaints cannot be referred to the Financial Ombudsman Service. As Goldilox is not authorised by CONSOB, complaints cannot be referred to the Arbitro per le Controversie Finanziarie (ACF). If you have concerns about a regulated firm (such as your broker), you should contact that firm's regulator directly.

7. Anti-Money Laundering

Although Goldilox does not handle client funds or execute financial transactions, we are committed to preventing our Platform from being used for money laundering, terrorist financing, or other financial crime. We comply with the Proceeds of Crime Act 2002, the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (UK), and EU Directive 2015/849 (4th Anti-Money Laundering Directive) as applicable to our business activities. We reserve the right to report suspicious activity to the relevant authorities and to suspend or terminate accounts where we have reasonable grounds for concern.

8. Tax

Goldilox does not provide tax advice. Tax treatment depends on your individual circumstances and may be subject to change. You are solely responsible for understanding and fulfilling your tax obligations in relation to any trading or investment activity, including but not limited to Capital Gains Tax (UK), income tax, and any applicable Italian taxes (e.g., imposta sostitutiva, IVAFE, Tobin Tax). You should consult a qualified tax professional for advice.

9. Regulatory Changes

Laws and regulations governing financial services, technology platforms, and data protection are subject to change. Goldilox monitors relevant legal developments and will update this page and our practices as necessary. However, it is ultimately your responsibility to ensure that your use of the Platform is lawful in your jurisdiction.
