In these Terms of Service ("Terms"), the following definitions apply:
By accessing, browsing, registering for, or using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy, Risk Disclosure, and Regulatory Information, which are incorporated herein by reference. If you do not agree to any part of these Terms, you must immediately cease using the Platform.
We reserve the right to amend these Terms at any time. Changes become effective upon posting to the Platform. Your continued use after any amendment constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
You are solely responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your jurisdiction, including but not limited to the laws of England and Wales, the laws of the Italian Republic, and any applicable European Union legislation. The Platform is not intended for use in any jurisdiction where such use would be contrary to local law or regulation.
The Signals, scores, analysis, and any other data generated by the Platform are the outputs of automated technical analysis algorithms. They are provided for educational and general informational purposes only, to help you understand market dynamics, technical indicators, and analytical concepts. They are not tailored to your individual circumstances, financial situation, investment objectives, or risk tolerance.
Goldilox does not act as a financial adviser, investment adviser, broker, dealer, portfolio manager, asset manager, or in any other regulated capacity under the Financial Services and Markets Act 2000 (FSMA), the Markets in Financial Instruments Directive (MiFID II), the Testo Unico della Finanza (Italian Legislative Decree 58/1998), or any equivalent legislation in any jurisdiction.
You acknowledge and agree that:
Goldilox does not execute, clear, settle, or facilitate any trades, orders, or transactions in financial instruments on your behalf. Where the Platform displays functionality that may appear to facilitate trading activity (including any "auto-pilot" or automated signal features), such functionality operates solely as an informational interface that you may choose to act upon independently through a Third-Party Broker of your own selection. We are not party to, and accept no liability in respect of, any transaction you execute with any broker.
Your relationship with any Third-Party Broker is governed exclusively by the terms and conditions of that broker. Goldilox is not responsible for the acts, omissions, solvency, regulatory status, or performance of any Third-Party Broker.
To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep such information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must immediately notify us at legal@goldilox.co if you suspect any unauthorised access to or use of your account. Goldilox shall not be liable for any loss arising from your failure to safeguard your account credentials.
We reserve the right to suspend or terminate any account at our sole discretion, without prior notice, for any reason, including but not limited to: breach of these Terms; suspected fraudulent, abusive, or unlawful activity; or extended inactivity.
Certain features of the Platform may require a paid subscription. All fees are displayed on the Platform at the time of purchase and are quoted in British Pounds Sterling (GBP) or such other currency as indicated. Unless otherwise stated, all fees are inclusive of VAT where applicable.
By subscribing, you authorise us (or our third-party payment processor) to charge the applicable fees to your chosen payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.
All fees are non-refundable except as required by applicable consumer protection law, including the Consumer Rights Act 2015 (UK), the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK), and the Italian Consumer Code (Legislative Decree 206/2005). If you are a consumer in the UK or EU, you may have a statutory right to cancel within 14 days of purchase and receive a full refund, provided you have not accessed or used the paid features during that period. All intellectual property rights in the Platform, including but not limited to the software, algorithms, design, logos, trademarks, text, graphics, and data compilations, are owned by or licensed to Goldilox Ltd and are protected by copyright, trademark, and other intellectual property laws of England and Wales, the European Union, and international treaties.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial, educational purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, decompile, or disassemble any part of the Platform without our prior written consent.

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, OR NON-INFRINGEMENT.
We do not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the Content, data, Signals, or analysis will be accurate, complete, current, or reliable; (c) any errors or defects will be corrected; (d) the results of using the Platform will meet your expectations or requirements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING SECTION 2 OF THE UNFAIR CONTRACT TERMS ACT 1977 AND ARTICLES 1229 AND 1469-BIS OF THE ITALIAN CIVIL CODE:
You expressly acknowledge and agree that trading and investing in financial instruments involves substantial risk of loss and is not suitable for every individual. You may lose some or all of your invested capital. Goldilox accepts no responsibility or liability whatsoever for any trading or investment losses you may incur, whether or not such losses are related to your use of the Platform or any Content therein.
You agree to indemnify, defend, and hold harmless Goldilox Ltd, its directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights; or (e) any trading or investment decisions you make based on or influenced by Content on the Platform.
The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Goldilox. We do not endorse, monitor, or assume any responsibility for the content, privacy policies, practices, accuracy, or availability of any third-party resources. Your interaction with any third party is solely between you and that third party.
Our collection and processing of your personal data is governed by our Privacy Policy, which complies with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, the EU General Data Protection Regulation (EU GDPR, Regulation 2016/679), and the Italian Privacy Code (Legislative Decree 196/2003 as amended by Legislative Decree 101/2018). By using the Platform, you consent to such processing as described in our Privacy Policy.
We may, at our sole discretion and without liability, suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 8, 10, 11, 15, and 16.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales, provided that if you are a consumer habitually resident in the European Union or Italy, nothing in this clause shall deprive you of the protection afforded by the mandatory provisions of the law of your habitual residence, nor restrict your right to bring proceedings in the courts of your habitual residence, in accordance with Regulation (EU) No 1215/2012 (Brussels I Recast) and applicable Italian law.
If you are a consumer resident in the EU, you may also make use of the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
Entire Agreement: These Terms, together with the Privacy Policy, Risk Disclosure, and Regulatory Information, constitute the entire agreement between you and Goldilox with respect to the subject matter hereof and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect.
Waiver: No failure or delay by Goldilox in exercising any right or remedy shall constitute a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any further exercise of that or any other right or remedy.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: Goldilox shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks.
Notices: Any notice to Goldilox shall be sent to legal@goldilox.co. We may provide notices to you via the email address associated with your account or by posting on the Platform.
